1. Acceptance of Terms

These Terms of Service ("Agreement") constitute a legally enforceable contract between Precise Global Business Inc. ("Precise Global") and the organization or individual ("Client", "you") purchasing or accessing our B2B datasets, custom contact lists, or research intelligence. By placing an order or downloading files, you agree to be bound by this Agreement.

2. Commercial License & Permitted Use

Precise Global grants Client a perpetual, non-exclusive, non-transferable license to utilize the delivered datasets solely for internal revenue generation, sales prospecting, corporate outreach, and CRM database enrichment.

Restrictions: Client may not sub-license, resell, publish on public repositories, transfer to third-party data brokers, or distribute the delivered datasets without express written authorization from Precise Global.

3. Marketing Compliance & Client Responsibility

Client maintains sole responsibility for executing outbound communication campaigns in full compliance with local, federal, and international communication statutes:

• CAN-SPAM Act: Mandatory inclusion of physical business address, clear header information, and a functional one-click unsubscribe mechanism.
• TCPA: Compliance with calling hours and national do-not-call registries for voice outreach.
• CASL & GDPR: Ensuring appropriate legal basis for commercial messaging and honoring opt-outs within statutory timeframes.

4. Contractual 98.6% Accuracy SLA & Replacement Warranty

Precise Global warrants that all delivered records pass our 4-gate verification protocol with a target bounce rate of less than 1.4%.

• If any dataset exhibits a hard-bounce rate greater than 5% when dispatched through verified email service providers within 30 days of receipt (or 60 days for Growth tiers), Precise Global will provide a 100% free replacement for each failed contact record.
• To initiate a warranty claim, Client simply submits a standard delivery log or bounce report showing the hard-bounce statuses.

5. Delivery Timelines and Orders

Unless otherwise agreed upon in a custom Enterprise Statement of Work, custom contact databases are delivered via secure encrypted link within 48 business hours of order confirmation. Datasets are formatted as standard UTF-8 CSV or XLSX files.

6. Payment Terms and Digital Nature of Goods

All fees are quoted and payable in United States Dollars (USD). Due to the irrevocable and digital nature of proprietary contact data, cash refunds cannot be issued once files are delivered. All clients are fully safeguarded by our 100% Replacement Warranty.

7. Limitation of Liability

In no circumstance shall Precise Global Business Inc., its directors, officers, or staff be liable for indirect, incidental, punitive, or consequential damages, including loss of profits or domain deliverability reputation. The total aggregate liability of Precise Global under this Agreement shall not exceed the amount paid by Client for the specific order giving rise to liability.

8. Governing Law & Jurisdiction

This Agreement is governed by the laws of the State of Colorado and the federal laws of the United States. Any dispute arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).
